Terms of Service

1. Acceptance of Terms

By accessing or using the SEED platform ("Platform"), operated by Liaison Technologies LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

These Terms apply to all users, including brand accounts and any administrators acting on behalf of a brand.

2. Eligibility

You must be at least 18 years of age to register for an account. By creating an account, you represent that all information you provide is accurate, current, and complete, and that you have the legal authority to enter into this agreement on behalf of yourself or your brand.

Brand accounts are subject to an application and review process. We reserve the right to approve or deny any application at our sole discretion, and to revoke access at any time.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@productseed.co of any unauthorized use of your account.

You may not share, sell, transfer, or sublicense your account to any third party. Each account may only represent one brand entity.

4. Description of Service

SEED is a product seeding platform that connects brands with content creators ("creators") for the purpose of organic product gifting. Brands create PR drops — listings describing products they wish to send to creators — and creators may apply to receive those products.

SEED facilitates introductions and shipping logistics only. No money of any kind passes through SEED. All shipping costs are charged directly to the brand's connected shipping account (e.g., Shippo). SEED is not a payment processor, marketplace, or financial intermediary.

Product seeding through SEED carries no posting requirements, no deliverables, and no contractual obligations between brands and creators. Any content a creator chooses to post is done entirely at their own discretion.

5. Shipping and Creator Addresses

When a brand approves a creator, SEED uses the creator's on-file shipping address to generate a prepaid label through the brand's connected Shippo account. Creator shipping addresses are strictly confidential and are never disclosed to brands or any third party outside of the shipping carrier.

Brands are solely responsible for the contents of any package they ship, including compliance with applicable laws, accurate customs declarations, and ensuring products are safe for consumer use.

SEED is not responsible for lost, damaged, delayed, or undelivered shipments. All shipping disputes must be handled directly with the carrier.

6. UGC Rights and Creator Content

Creators who apply through SEED (Flow 1 — creator-initiated) acknowledge during onboarding that if they choose to post content about a product they received through the Platform and submit that post URL via SEED, they grant the applicable brand a non-exclusive, royalty-free license to use that content for paid advertising purposes, including download of a watermark-free video file.

This license applies only to content voluntarily submitted by the creator through the Platform. SEED does not guarantee that any creator will post content, and brands may not pursue creators for failure to post.

Brands receiving UGC through SEED represent that they will use such content only in compliance with applicable advertising laws, platform policies (including Meta and TikTok), and any other relevant regulations.

7. Prohibited Conduct

You agree not to:

• Provide false, misleading, or incomplete information during registration or use of the Platform
• Use the Platform to send products that are illegal, hazardous, or misrepresented
• Harass, threaten, pressure, or contact creators outside of the Platform's intended flows
• Attempt to obtain or store creator shipping addresses beyond what is required to generate a shipping label
• Reverse engineer, scrape, or extract data from the Platform
• Circumvent approval or review processes
• Use SEED to facilitate any financial transaction, affiliate payment, or paid partnership
• Use the Platform in any way that violates applicable laws or regulations

8. Intellectual Property

All content, design, trademarks, and technology on the Platform are owned by or licensed to Liaison Technologies LLC. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our express written permission.

By submitting brand information, logos, product images, or other materials to the Platform, you grant Liaison Technologies LLC a non-exclusive, royalty-free license to display such materials in connection with operating and promoting the Platform.

9. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee any particular outcome from product seeding campaigns, including creator engagement, content creation, or brand awareness.

SEED does not endorse, verify, or assume responsibility for any creator's conduct, posted content, or social media accounts.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Liaison Technologies LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, reputational harm, or shipping losses, arising out of or related to your use of or inability to use the Platform.

In no event shall our total liability to you for any claim arising from these Terms or your use of the Platform exceed the amount you paid to us (if any) in the twelve months preceding the claim. If you have paid nothing, our liability is zero.

11. Indemnification

You agree to indemnify, defend, and hold harmless Liaison Technologies LLC and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) any products you ship to creators; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

12. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason including but not limited to violation of these Terms, suspected fraudulent or harmful activity, or inactivity. Upon termination, your right to access the Platform immediately ceases.

Termination does not relieve you of any obligations incurred prior to termination. Sections 6, 8, 10, 11, and 13 of these Terms survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in Utah County, Utah, and you consent to the personal jurisdiction of such courts.

You waive any right to a jury trial in connection with any dispute arising under these Terms.

14. Changes to These Terms

We may update these Terms at any time. We will notify active users of material changes via email when possible. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.
